By using Genkidama Solutions / Arcadia Path services, you agree to these terms and conditions.

1. Nature of Services
1.1 What We Provide

Genkidama Solutions provides software development services only, including:

  • Custom trading bot development (MT4/MT5, Python, PineScript, etc.)
  • Algorithmic trading system implementation
  • Technical optimization and backtesting
  • Software documentation and technical support
1.2 What We DO NOT Provide

We are NOT authorized to provide and do NOT provide:

  • Personalized investment advice or financial consulting
  • Portfolio management or asset management services
  • Recommendations on what to buy, sell, or hold
  • Analysis of whether strategies are suitable for your situation
  • Trading signals (except through authorized third-party platforms)
  • Any form of financial advisory services
1.3 Licensure

We are not licensed financial advisors. We do not hold any financial advisory licenses (OCF, CONSOB, or equivalent).

For financial advice: You must consult professionals licensed in your jurisdiction (e.g., OCF-registered advisors in Italy, SEC-registered in USA, FCA-authorized in UK, etc.).

2. Client Responsibilities
2.1 Strategic Decisions

You are solely responsible for:

  • Defining trading strategies to implement
  • Deciding whether to use any software or system
  • Determining capital allocation and risk parameters
  • Evaluating if any system is suitable for your situation
  • All trading and investment decisions
2.2 Due Diligence

Before using any software, you must:

  • Understand how the system works
  • Test thoroughly in demo/paper trading accounts
  • Consult licensed financial advisors about suitability
  • Verify the software functions as specified
  • Ensure compliance with your broker’s and jurisdiction’s rules
2.3 Monitoring

Automated systems are not “set and forget”:

  • You must actively monitor all systems
  • Be prepared to intervene manually if needed
  • Regularly review performance and functionality
  • Stay informed about market conditions
3. Risk Warnings
3.1 Trading Risks

WARNING: Trading involves substantial risk and may not be suitable for all investors.

  • You can lose all of your invested capital
  • Losses can exceed deposits (depending on leverage and instruments)
  • Past performance does not guarantee future results
  • Market conditions change and can render strategies ineffective
3.2 Automated Trading Risks

Automated systems have additional risks:

  • Software can malfunction due to bugs, connection issues, or platform problems
  • Unexpected market conditions can cause systems to behave unpredictably
  • Broker execution issues (slippage, requotes, server problems) affect results
  • No system can adapt to all market conditions
3.3 Backtesting Limitations

Historical performance data (backtests) have severe limitations:

  • Calculated on past data under ideal conditions
  • Do not account for all real-world factors (variable slippage, emotional factors, execution quality)
  • Market conditions change – past patterns may not repeat
  • Backtests are NOT predictions or guarantees
4. Software Delivery & Warranties
4.1 “AS IS” Provision

All software is provided “AS IS” according to agreed specifications:

  • We warrant the software functions according to technical specifications
  • We do NOT warrant profitability, performance, or specific outcomes
  • We do NOT guarantee the software will be profitable in live trading
4.2 Technical Support

Support includes:

  • Bug fixes for software malfunctions
  • Installation and configuration assistance
  • Technical documentation
  • Help understanding code functionality

Duration: As specified in project contract (typically 6 months)

Support does NOT include:

  • Strategic advice on using the systems
  • Recommendations on parameters or settings for your situation
  • Market analysis or trading signals
  • Guaranteed performance or results
4.3 Third-Party Dependencies

Software may rely on third-party services (brokers, platforms, data providers). We are not responsible for:

  • Third-party service outages or issues
  • Broker execution quality or problems
  • Platform updates that affect functionality
  • Data feed errors or delays
5. Limitation of Liability
5.1 No Liability for Trading Losses

We are NOT liable for:

  • Trading losses or financial damages of any kind
  • Lost profits or opportunity costs
  • Decisions you make based on software or information provided
  • Results that differ from backtests or expectations
5.2 Maximum Liability

Our maximum liability is limited to the amount you paid for the specific software/service, and only for:

  • Software that fails to meet agreed technical specifications
  • Technical malfunctions caused by our code (not external factors)
5.3 Force Majeure

We are not liable for failures caused by circumstances beyond our control:

  • Market events (flash crashes, extreme volatility, etc.)
  • Technical issues (internet outages, broker problems, platform issues)
  • Regulatory changes
  • Acts of Gods, war, terrorism, pandemics, etc.
6. Copy Trading Services
6.1 Third-Party Platforms

We may operate as a signal provider on authorized third-party platforms (ZuluTrade, MyFXBook, etc.).

Important:

  • These are regulated third-party platforms, not our services
  • We trade our personal accounts
  • You choose to follow at your own risk
  • The platforms handle regulatory compliance
6.2 Copy Trading Risks

Copy trading involves:

  • Substantial risk of loss (possibly total loss of capital)
  • Following someone else’s decisions without control
  • Potential delays in execution
  • Different results due to account size, broker, timing
6.3 Conflict of Interest

Disclosure: We receive commissions/fees when users copy our trades.

This creates a conflict of interest:

  • We may be incentivized to trade more frequently
  • Our interests may not align with yours
  • We profit even if you lose money

You must consider this before deciding to copy.

6.4 No Personalized Advice

Copy trading signals are not personalized advice:

  • We do not analyze your situation before you copy
  • We do not know if copying is suitable for you
  • Consult licensed advisors before copying any trader
7. Intellectual Property
7.1 Source Code

For custom projects where source code is delivered:

  • You receive a license to use the code
  • You may modify for personal use
  • You may not resell or redistribute the code
  • Ownership terms specified in project contract
7.2 Standardized Products

For standardized software products:

  • You receive a license for personal use
  • Source code ownership as specified in product terms
  • Redistribution prohibited unless explicitly allowed
8. Payment Terms
8.1 Pricing
  • Prices quoted are in EUR unless specified otherwise
  • Custom projects: Fixed price after analysis phase
  • Consulting: Hourly rate as specified
  • Payment terms specified in each project quote
8.2 No Refunds

No refunds are provided because:

  • Software is delivered according to agreed specifications
  • You can verify functionality meets specifications
  • Performance in live markets depends on factors outside our control
  • You receive full source code and documentation
8.3 Disputed Charges

If you believe software does not meet technical specifications:

  • Contact us within 14 days of delivery
  • Provide specific technical issues
  • We will investigate and fix bugs as per support agreement
  • This does NOT include performance/profitability issues
9. Community & Educational Content
9.1 Nature of Community Content

Content shared in community groups (Telegram, Discord, etc.) is:

  • Educational and informational only
  • Based on personal experiences and opinions
  • NOT personalized trading advice
  • NOT recommendations to copy trades
9.2 User Responsibility

When viewing community content:

  • Do not automatically copy trades or ideas
  • Make your own independent analysis
  • Consult advisors before acting on information
  • Remember that what works for others may not work for you
10. Who Should NOT Use These Services

Do NOT use our services if:

  • You cannot afford to lose your capital
  • You don’t understand how trading or the systems work
  • You expect guaranteed profits or “get rich quick” results
  • You are looking for financial advice (we don’t provide it)
  • You haven’t consulted licensed advisors about suitability
  • You are not willing to test thoroughly before live trading
  • You expect us to make trading decisions for you
11. Prohibited Uses

You may NOT:

  • Use software for illegal purposes
  • Resell or redistribute our software without permission
  • Claim our software as your own
  • Use services to provide unauthorized financial advice to others
  • Violate broker terms, platform rules, or regulations
  • Reverse engineer proprietary aspects of standardized products
12. Regulatory Compliance
12.1 Your Jurisdiction

You are responsible for:

  • Ensuring your trading activities comply with local laws
  • Paying applicable taxes on trading gains
  • Obtaining any required licenses if you resell/redistribute
  • Following broker and platform terms of service
12.2 Restricted Jurisdictions

Our services may not be available in all jurisdictions. It is your responsibility to ensure use is legal in your location.

13. Modifications to Terms

We may update these terms at any time:

  • Changes effective upon posting to website
  • Continued use constitutes acceptance
  • Major changes will be announced via email/community
  • Check periodically for updates
14. Severability

If any provision is found invalid or unenforceable:

  • Other provisions remain in full effect
  • Invalid provision modified to minimum extent necessary
  • Does not affect validity of remaining terms
15. Governing Law

These terms governed by:

  • Laws of Italy (for EU clients)
  • Jurisdiction where client is located (for non-EU clients)
  • Disputes resolved in appropriate courts
16. Entire Agreement

These terms, together with:

  • Specific project contracts
  • Product-specific terms
  • Privacy policy

constitute the entire agreement between you and Genkidama Solutions.
